Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the ArcForge Systems website, submission of project information, purchase of services, and acquisition of prototypes, custom parts, designs, drawings, models, manufactured products, or other deliverables.

These Terms constitute a legally binding agreement between you and ArcForge Systems LLC, a Washington limited liability company (“ArcForge,” “we,” “us,” or “our”).

By accessing the website, submitting a quote request, approving a proposal, accepting an invoice, making a payment, electronically signing an agreement, or otherwise ordering services or products from ArcForge, you acknowledge that you have read, understood, and agreed to these Terms.

Do not use the website or purchase ArcForge services if you do not agree to these Terms.

1. Business Information

ArcForge Systems LLC provides custom CAD design, product-development support, rapid prototyping, 3D printing, manufacturing preparation, reverse-engineering support, limited production, and related services.

ArcForge does not operate as a conventional online retail store. Projects are generally reviewed, scoped, quoted, and accepted individually.

2. Eligibility and Authority

You must be at least eighteen years old and legally capable of entering into a binding agreement to use ArcForge’s paid services.

When acting on behalf of a business, employer, organization, or another person, you represent that you have authority to bind that party to these Terms and to authorize the requested work.

3. Website Information Is General Information

Information displayed on the ArcForge website is provided for general informational and promotional purposes.

Website descriptions, portfolio examples, renderings, specifications, estimated capabilities, material information, manufacturing explanations, timelines, and other content do not constitute a binding offer, engineering certification, performance guarantee, or promise that ArcForge will accept or successfully complete a particular project.

Portfolio projects are examples of previous or representative work. They are not automatically available for sale and do not guarantee that another project will produce identical results.

ArcForge may correct, update, remove, or modify website content at any time.

4. Project Submissions and Quote Requests

Submitting a project request does not require ArcForge to accept the project and does not create a contract for paid services.

ArcForge may request additional information before providing a quote, including:

  • Measurements and tolerances

  • Photographs, sketches, drawings, or videos

  • Existing CAD or manufacturing files

  • Material preferences

  • Quantity requirements

  • Operating conditions

  • Load, pressure, temperature, or impact requirements

  • Assembly and installation details

  • Intended use

  • Applicable standards or regulatory requirements

Quotes are based on the information available when the quote is prepared. ArcForge may revise a quote if the information provided is incomplete, inaccurate, misleading, or later changed.

ArcForge may decline any project at its discretion, including projects that are unsafe, unlawful, unethical, technically unsuitable, outside available capabilities, or potentially infringe another party’s rights.

5. Formation of a Project Agreement

A binding project agreement is formed only when:

  1. ArcForge issues a written quote, proposal, statement of work, estimate, or invoice;

  2. The customer approves the applicable document;

  3. The customer agrees to these Terms; and

  4. Any required deposit or initial payment is received.

A project agreement may consist of these Terms together with a quote, proposal, invoice, statement of work, design approval, revision authorization, manufacturing approval, or other written communication.

When documents conflict, the following order of priority applies:

  1. A separately signed written contract;

  2. The applicable statement of work or proposal;

  3. The applicable quote or invoice;

  4. These Terms;

  5. General website content.

Changes to a project’s scope, deliverables, quantities, materials, tolerances, schedule, or specifications must be approved in writing.

6. Customer-Supplied Information

You are responsible for providing complete and accurate project requirements.

ArcForge may rely on dimensions, specifications, files, drawings, measurements, material requirements, load requirements, environmental conditions, and other information you provide.

Unless ArcForge expressly agrees in writing to independently verify specific information, ArcForge is not responsible for losses caused by:

  • Incorrect measurements

  • Missing requirements

  • Inaccurate specifications

  • Defective customer files

  • Undisclosed operating conditions

  • Incorrect material assumptions

  • Unidentified mating components

  • Changes made after approval

  • Information withheld from ArcForge

  • Miscommunication by the customer or customer’s representatives

You must review all drawings, models, specifications, and approval documents carefully before authorizing production.

7. Intended Use Must Be Disclosed

You must accurately disclose how each design or product will be used.

You must notify ArcForge when a project may involve:

  • Personal safety

  • Motor vehicles or transportation systems

  • Structural loads

  • Lifting or load-bearing equipment

  • Pressure vessels or pressurized systems

  • Electrical power

  • Fire protection

  • Medical devices

  • Food contact

  • Child-safety products

  • Weapons

  • Aerospace applications

  • Emergency equipment

  • Hazardous chemicals

  • High temperatures

  • Critical machinery

  • Regulated industries

  • Any application in which failure could cause injury, death, or substantial property damage

ArcForge may refuse safety-critical or regulated work or require review and approval by a licensed engineer, qualified testing laboratory, regulatory professional, or other specialist.

Failure to disclose the intended use is a material breach of these Terms.

8. No Professional Engineering Services Unless Expressly Agreed

Unless a separate written agreement expressly states otherwise, ArcForge does not provide licensed professional-engineering certification, architectural services, regulatory approval, code certification, legal advice, medical advice, or safety certification.

CAD models, prototypes, drawings, design suggestions, and manufacturing recommendations are not stamped engineering documents and must not be treated as such.

When licensed engineering review, testing, permitting, code compliance, certification, or governmental approval is required, the customer is responsible for obtaining it before manufacturing, installation, sale, or use.

9. Design Development and Revisions

ArcForge will provide the design services and deliverables described in the applicable project agreement.

Included revisions, review stages, and approval milestones will be stated in the quote or statement of work.

A revision is a reasonable modification that remains within the agreed project scope. The following may be treated as additional work:

  • A change in intended use

  • Material changes

  • Major dimensional changes

  • Newly disclosed requirements

  • Changes to approved geometry

  • Changes requested after manufacturing begins

  • Additional design concepts

  • Additional file formats

  • Rebuilding unusable customer files

  • Work caused by incorrect customer measurements

  • Changes involving new components or assemblies

Additional work may require additional charges and schedule changes.

10. Customer Approval

The customer is responsible for reviewing and approving all relevant project information before production, including:

  • Overall dimensions

  • Critical dimensions

  • Tolerances

  • Geometry

  • Hole sizes and locations

  • Threads and fasteners

  • Fits and clearances

  • Material

  • Quantity

  • Surface finish

  • Color

  • Orientation

  • Assembly configuration

  • Labeling or text

  • Manufacturing method

  • Intended use

Written approval authorizes ArcForge to proceed based on the approved information.

After approval, the customer assumes responsibility for errors or undesired characteristics that were visible, stated, reasonably identifiable, or caused by customer-supplied requirements.

Changes requested after approval may result in additional costs, scrapped materials, restart fees, and schedule delays.

11. Prototypes

Prototypes are generally intended to evaluate appearance, size, fit, assembly, ergonomics, movement, manufacturability, or limited function.

Unless expressly stated otherwise, a prototype is not represented as:

  • A certified production part

  • A final consumer product

  • A safety-rated component

  • A structural component

  • A roadworthy automotive component

  • A medical-grade product

  • A food-safe product

  • A fire-rated product

  • A pressure-rated component

  • A code-compliant component

  • Suitable for unrestricted or long-term use

Prototype materials and manufacturing processes may differ from those intended for final production.

Testing and approval of a prototype remain the customer’s responsibility unless specific testing services are included in writing.

12. Additive-Manufacturing Limitations

The customer acknowledges that 3D-printed parts may exhibit characteristics inherent to additive manufacturing, including:

  • Visible layer lines

  • Minor dimensional variation

  • Surface irregularities

  • Support-removal marks

  • Color variation

  • Direction-dependent strength

  • Internal voids

  • Warping or shrinkage

  • Seam lines

  • Changes between material batches

  • Variations caused by temperature and humidity

  • Reduced strength near thin walls or layer interfaces

Unless otherwise specified in writing, cosmetic imperfections that do not materially prevent the agreed function are not defects.

Published material-property data may reflect controlled laboratory testing and may not represent the performance of a completed printed part.

13. CNC and Other Manufacturing Limitations

Machined, fabricated, cast, molded, printed, or otherwise manufactured parts may have reasonable variation resulting from tooling, fixturing, material condition, machine capability, surface treatment, measuring methods, and normal production tolerances.

ArcForge will apply specifically agreed tolerances. When a dimension does not have a specified tolerance, ArcForge may use reasonable commercial judgment based on the part, material, and manufacturing method.

Unspecified surfaces, edges, cosmetic areas, and features will be completed according to reasonable commercial practice rather than aerospace, medical, or precision-instrument standards.

14. Materials

ArcForge may provide material recommendations based on information supplied by the customer, but the customer remains responsible for determining whether a material is suitable for the final application unless ArcForge expressly assumes that responsibility in a signed agreement.

Material performance may be affected by:

  • Temperature

  • Ultraviolet exposure

  • Chemicals

  • Moisture

  • Fatigue

  • Impact

  • Creep

  • Vibration

  • Pressure

  • Fire

  • Electrical exposure

  • Installation

  • Sterilization

  • Cleaning products

  • Long-term environmental exposure

ArcForge does not guarantee the suitability of a material for undisclosed conditions.

Equivalent or substitute materials will not be used when the project expressly prohibits substitutions. When substitutions are permitted, ArcForge may use commercially reasonable equivalents.

15. Testing, Inspection, and Certification

ArcForge performs only the inspection or testing expressly listed in the project agreement.

Unless otherwise agreed, ArcForge does not provide:

  • Destructive testing

  • Fatigue testing

  • Load certification

  • Pressure testing

  • Chemical-resistance testing

  • Flammability certification

  • Food-contact certification

  • Medical certification

  • Electrical certification

  • Regulatory certification

  • Environmental testing

  • Independent laboratory testing

  • Long-term durability testing

The customer is responsible for any additional validation necessary for the intended use.

No part should be placed into a safety-critical application based solely on visual inspection or successful fit.

16. Installation and Use

Unless installation is expressly included in writing, ArcForge is not responsible for installation, assembly, wiring, programming, calibration, maintenance, modification, repair, inspection, or use of a delivered product.

The customer must ensure that installation and use are performed by qualified persons and in accordance with applicable laws, codes, instructions, warnings, and industry practices.

ArcForge is not responsible for losses caused by:

  • Improper installation

  • Improper assembly

  • Incorrect fasteners

  • Excessive tightening

  • Modification after delivery

  • Use outside stated limits

  • Failure to inspect

  • Failure to maintain

  • Abuse or misuse

  • Accidents

  • Unauthorized repairs

  • Combination with incompatible components

  • Failure to follow warnings

  • Continued use after damage or wear is discovered

17. Customer Testing and Risk Assessment

The customer is responsible for performing an appropriate risk assessment before using, selling, distributing, or incorporating a design or product into another system.

The customer must independently determine whether the design or product is safe and suitable for the customer’s application.

Where failure could cause injury, death, property damage, operational interruption, or financial loss, the customer must use appropriate safeguards, redundancy, containment, protective equipment, warnings, inspections, and qualified professional review.

18. Intellectual Property Representations

You represent and warrant that you own or have permission to use and reproduce all files, designs, logos, trademarks, photographs, drawings, models, products, text, and other materials submitted to ArcForge.

You authorize ArcForge and its contractors to use submitted materials as necessary to evaluate, quote, design, manufacture, and complete the project.

You must not ask ArcForge to copy or reproduce protected intellectual property without authorization.

ArcForge may suspend or terminate a project if an intellectual-property concern arises.

19. Indemnification for Customer-Supplied Content and Use

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless ArcForge Systems LLC and its owners, members, managers, employees, contractors, suppliers, agents, and affiliates from claims, damages, judgments, losses, liabilities, penalties, recalls, costs, and reasonable attorneys’ fees arising out of or related to:

  • Customer-supplied designs or instructions

  • Infringement allegations involving customer-supplied content

  • Undisclosed intended use

  • Customer modifications

  • Improper installation or use

  • Violation of law by the customer

  • Products sold or distributed by the customer

  • Marketing claims made by the customer

  • Failure to obtain required testing or certification

  • Injury or damage caused by combining a deliverable with other products

  • Breach of these Terms

  • Negligent, reckless, unlawful, or intentional conduct by the customer

This obligation does not apply to the extent a claim is finally determined to have resulted solely from conduct for which ArcForge cannot legally disclaim responsibility.

20. Ownership of ArcForge Materials

ArcForge retains ownership of its preexisting intellectual property, including:

  • Reusable design methods

  • Templates

  • Manufacturing techniques

  • Workflows

  • Standard components

  • Libraries

  • Software

  • Automation

  • Tools

  • Jigs and fixtures

  • Know-how

  • General improvements

  • Proprietary business processes

Customer rights to final CAD files, drawings, source files, editable files, manufacturing files, or other design deliverables will be determined by the applicable project agreement.

Payment for a physical product does not automatically transfer ownership of design files or intellectual property.

21. Customer Deliverables and License

Unless the project agreement provides otherwise, after full payment ArcForge grants the customer a nonexclusive license to use the final delivered files for the customer’s stated project and intended use.

The customer may not resell, sublicense, publish, distribute, or use ArcForge-owned templates, libraries, or preexisting intellectual property except as expressly authorized.

Exclusive ownership, full assignment, commercial reproduction rights, or source-file transfer must be expressly stated in writing and may require additional fees.

22. Confidentiality

ArcForge will use reasonable care when handling nonpublic project information.

However, submission through the website does not by itself establish a formal nondisclosure agreement or fiduciary relationship.

Customers requiring specific confidentiality protections should request a written nondisclosure agreement before sharing highly sensitive information.

ArcForge may share project information with employees, contractors, suppliers, manufacturers, shipping providers, software providers, and professional advisers when reasonably necessary to evaluate or complete the project.

23. Portfolio Use

ArcForge will not intentionally publish clearly confidential customer information.

Unless separate written permission is obtained, ArcForge should not publicly display confidential designs, proprietary specifications, personal identifying information, or unreleased customer products.

ArcForge may request permission to display photographs, renderings, generalized project descriptions, or completed work in its portfolio, website, marketing materials, or social media.

The customer may approve, restrict, or decline portfolio use in writing.

24. Pricing and Estimates

Prices may include design labor, engineering support, project management, materials, machine time, setup, tooling, outside services, inspection, finishing, packaging, shipping, taxes, and other project costs.

An estimate is a good-faith projection and may not be a guaranteed fixed price unless expressly identified as fixed.

ArcForge may issue a change order or revised quote when:

  • Requirements change

  • Customer information is inaccurate

  • Hidden complexity is discovered

  • Material prices change materially

  • Outside-vendor pricing changes

  • Additional revisions are requested

  • Special tooling becomes necessary

  • Failed customer-supplied files require repair

  • Additional testing or documentation is requested

ArcForge will seek customer authorization before performing substantial out-of-scope work whenever reasonably practicable.

25. Deposits and Payment

Payment terms will be stated in the applicable quote or invoice.

ArcForge may require:

  • A nonrefundable consultation fee

  • A design deposit

  • A material deposit

  • Full payment before production

  • Milestone payments

  • Final payment before shipment or release of files

Deposits compensate ArcForge for reserved scheduling, administrative work, design effort, material commitments, setup, and other costs.

Except where prohibited by law or stated otherwise in writing, payments for completed design work, purchased materials, machine setup, custom tooling, and approved custom production are nonrefundable.

ArcForge may pause work, withhold files, withhold delivery, or cancel a project when payment is overdue.

26. Taxes

Customers are responsible for applicable sales, use, excise, customs, import, value-added, or similar taxes unless ArcForge is legally required to collect them.

Tax-exempt customers must provide valid exemption documentation before invoicing or payment.

27. Cancellations

Cancellation terms may vary by project.

When a customer cancels a project, the customer remains responsible for:

  • Work already completed

  • Time already incurred

  • Purchased or committed materials

  • Noncancelable vendor charges

  • Custom tooling

  • Setup costs

  • Administrative costs

  • Restocking or cancellation fees

  • Shipping costs

ArcForge may apply a deposit toward these amounts.

Custom products, customer-specific designs, and made-to-order components generally cannot be returned merely because the customer changes their mind.

28. Project Delays and Inactivity

Timelines are estimates unless expressly guaranteed in writing.

Schedules may be affected by:

  • Customer response time

  • Revision requests

  • Material availability

  • Vendor delays

  • Equipment failure

  • Shipping delays

  • Design complications

  • Testing results

  • Utility interruptions

  • Illness

  • emergencies

  • events outside ArcForge’s reasonable control

ArcForge is not responsible for losses caused by reasonable or uncontrollable delays.

If the customer fails to respond, provide information, approve work, or make payment for thirty days, ArcForge may place the project on hold.

After sixty days of inactivity, ArcForge may close the project and require a restart fee, revised quote, or new schedule before resuming.

29. Outside Vendors and Contractors

ArcForge may use independent contractors, suppliers, manufacturers, finishers, testing providers, shipping companies, and other third parties.

ArcForge will use reasonable judgment when selecting outside providers but does not control every act, omission, schedule, process, or business condition of an independent third party.

To the fullest extent permitted by law, ArcForge is not responsible for indirect losses caused solely by third-party delays or failures outside ArcForge’s reasonable control.

30. Shipping, Delivery, and Risk of Loss

Shipping and delivery terms will be stated in the quote or invoice.

The customer is responsible for providing an accurate delivery address.

To the fullest extent permitted by law, risk of loss transfers to the customer upon delivery to the customer, customer’s representative, or shipping carrier, depending on the agreed shipping terms.

Customers must inspect packages promptly and document shipping damage before discarding packaging.

Claims for missing, damaged, or incorrectly shipped products must be submitted to ArcForge in writing within five business days after delivery.

31. Inspection and Acceptance

The customer must inspect delivered products and files promptly.

Any claim that a deliverable materially fails to conform to the written project requirements must be submitted within ten business days after delivery unless a different inspection period is stated in writing.

The notice must identify the alleged defect and include supporting photographs, measurements, files, or other reasonable documentation.

A deliverable is considered accepted when:

  • The customer confirms acceptance;

  • The customer uses, installs, modifies, resells, or distributes it;

  • The customer fails to submit a timely written nonconformity notice; or

  • The customer approves the deliverable through another written method.

Hidden defects that could not reasonably have been identified during the inspection period must be reported promptly after discovery.

32. Limited Remedy for Nonconforming Work

When ArcForge determines that a deliverable materially fails to conform to the written project requirements due to ArcForge’s error, ArcForge may, at its option:

  • Correct the design;

  • Repair the product;

  • Remanufacture the affected product;

  • Replace the affected product; or

  • Refund the amount paid for the affected deliverable.

To the fullest extent permitted by law, this is the customer’s exclusive contractual remedy for nonconforming work.

ArcForge is not required to provide a remedy when the alleged problem results from customer information, customer approval, misuse, modification, installation, normal manufacturing variation, ordinary wear, or conditions outside the agreed requirements.

33. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY WASHINGTON LAW, ARCForge’S WEBSITE, SERVICES, DESIGNS, PROTOTYPES, FILES, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” EXCEPT FOR ANY EXPRESS LIMITED WARRANTY SPECIFICALLY STATED IN A WRITTEN PROJECT AGREEMENT.

ARCForge DISCLAIMS ALL IMPLIED WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ARCForge DOES NOT WARRANT THAT A DESIGN OR PRODUCT WILL BE SUITABLE FOR AN UNDISCLOSED USE, PASS UNSPECIFIED TESTING, SATISFY UNIDENTIFIED REGULATIONS, OPERATE IN COMBINATION WITH UNDISCLOSED COMPONENTS, OR ACHIEVE RESULTS THAT WERE NOT INCLUDED IN THE WRITTEN PROJECT REQUIREMENTS.

No verbal statement, website statement, rendering, sample, prototype, portfolio item, or informal communication creates a warranty unless expressly incorporated into a written project agreement.

Some warranties or consumer rights may not lawfully be excluded. This section applies only to the extent permitted by applicable law.

34. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ARCForge SYSTEMS LLC AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

This exclusion includes, without limitation:

  • Lost profits

  • Lost revenue

  • Lost business

  • Lost contracts

  • Lost opportunities

  • Production interruption

  • Downtime

  • Loss of use

  • Loss of data

  • Recall costs

  • Replacement labor

  • Installation costs

  • Removal costs

  • Damage to other equipment

  • Reputational harm

  • Business interruption

  • Customer claims against the purchaser

TO THE FULLEST EXTENT PERMITTED BY LAW, ARCForge’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PROJECT WILL NOT EXCEED THE AMOUNT THE CUSTOMER ACTUALLY PAID ARCForge FOR THE SPECIFIC DELIVERABLE GIVING RISE TO THE CLAIM.

This limitation applies regardless of whether a claim is based on contract, warranty, negligence, strict liability, statute, misrepresentation, indemnity, or another legal theory.

These limitations do not apply to liability that cannot lawfully be limited or excluded under applicable law.

35. Assumption of Risk

Custom design and manufacturing may involve experimentation, iteration, material uncertainty, fitment challenges, and performance risks.

The customer acknowledges that:

  • A concept may not be technically or commercially feasible;

  • A prototype may reveal the need for redesign;

  • Customer-supplied measurements may produce an incorrect fit;

  • Material properties may vary;

  • New or experimental designs may fail during testing;

  • Production results may differ from digital renderings;

  • Product performance depends on installation, environment, maintenance, and use.

The customer voluntarily accepts risks inherent in custom development except to the extent ArcForge has expressly assumed responsibility in writing.

36. No Liability for Customer Business Decisions

ArcForge does not guarantee that a customer’s product will be commercially successful, patentable, profitable, marketable, legally compliant, or accepted by customers, investors, distributors, regulators, or manufacturers.

The customer is responsible for market research, legal review, insurance, intellectual-property review, compliance, advertising claims, pricing, distribution, recalls, and commercialization decisions.

37. Insurance

Customers using ArcForge deliverables in commercial products, safety-sensitive applications, public-facing products, or products distributed to third parties should maintain appropriate commercial general-liability, product-liability, recall, and other insurance.

ArcForge may require proof of insurance for certain projects.

38. Prohibited Uses

You may not use ArcForge’s website, services, or deliverables to:

  • Violate any law or regulation;

  • Infringe intellectual-property rights;

  • Produce unlawful weapons or prohibited items;

  • Circumvent safety devices;

  • Commit fraud or deception;

  • Harm another person;

  • Access systems without authorization;

  • Misrepresent ArcForge’s testing or certification;

  • Claim ArcForge approved a use that was not approved;

  • Remove safety warnings;

  • Use a prototype as a certified final component without authorization.

ArcForge may terminate any project involving suspected prohibited activity.

39. Website Accounts and Security

When account features are available, you are responsible for protecting login credentials and restricting access to your account.

You must notify ArcForge promptly of suspected unauthorized access.

ArcForge may suspend access to protect the website, customers, business operations, intellectual property, or data.

40. Third-Party Links and Services

The website may contain links to third-party websites, payment providers, file-hosting services, manufacturers, suppliers, or other services.

ArcForge does not control and is not responsible for third-party content, privacy practices, availability, security, or performance.

Use of third-party services may be governed by separate terms.

41. Privacy

ArcForge’s collection and use of personal information are described in its Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

Project information may be stored or processed using third-party software, cloud storage, communication, payment, and manufacturing platforms as reasonably necessary to operate the business.

42. Electronic Communications and Signatures

You consent to conducting transactions electronically.

Electronic approvals, typed names, checkbox acceptances, email approvals, digital signatures, payment confirmations, and other electronic actions may be treated as signatures and written consent to the extent permitted by law.

You agree that electronic records may satisfy requirements that communications or agreements be in writing.

You are responsible for maintaining copies of project documents and communications.

43. Communications

By submitting contact information, you authorize ArcForge to communicate with you regarding:

  • Quote requests

  • Project questions

  • Approvals

  • Invoices

  • Payments

  • Production

  • Shipping

  • Customer service

  • Legal or policy updates

Marketing communications will be handled according to applicable law and any available opt-out options.

44. Force Majeure

ArcForge is not responsible for delay or failure caused by events beyond its reasonable control, including:

  • Natural disasters

  • Severe weather

  • Fire

  • Flood

  • War

  • Terrorism

  • Civil unrest

  • Government action

  • Public-health emergencies

  • Labor disruption

  • Utility interruption

  • Internet or communications outages

  • Cyberattacks

  • Material shortages

  • Transportation interruptions

  • Supplier failures

  • Equipment breakdown

  • Unavailability of specialized personnel

ArcForge may adjust schedules, suspend work, substitute reasonable processes with customer approval, or terminate affected work when necessary.

45. Suspension and Termination

ArcForge may suspend or terminate website access or project work when:

  • Payment is overdue;

  • The customer breaches these Terms;

  • The customer fails to cooperate;

  • The project creates an unreasonable safety or legal concern;

  • Continuing the project would violate law;

  • Harassment, threats, abuse, or fraudulent conduct occurs;

  • Intellectual-property ownership is disputed;

  • Required materials or services become unavailable.

Termination does not eliminate payment obligations for work performed or costs incurred before termination.

46. Informal Dispute Resolution

Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute informally.

The complaining party must send written notice describing:

  • The parties involved;

  • The project;

  • The relevant facts;

  • The amount disputed;

  • The requested resolution; and

  • Supporting documentation.

The parties will allow at least thirty days after receipt of the notice to attempt resolution, unless immediate court action is necessary to prevent serious or irreparable harm.

47. Governing Law and Venue

These Terms and all disputes arising from the website, services, products, or project agreements are governed by the laws of the State of Washington, without regard to conflict-of-law rules.

Except where applicable law requires otherwise, the parties consent to the exclusive jurisdiction and venue of the state courts located in King County, Washington, and the applicable federal court serving King County, Washington.

Each party waives objections based on personal jurisdiction or inconvenient forum to the extent permitted by law.

48. Time Limit for Contractual Claims

To the fullest extent permitted by law, any contractual claim arising from ArcForge’s services or products must be brought within one year after the claimant knew or reasonably should have known of the facts giving rise to the claim.

This section does not shorten a limitations period when applicable law prohibits contractual modification of that period.

49. Attorneys’ Fees

In a dispute arising from a project agreement or these Terms, the substantially prevailing party may recover reasonable attorneys’ fees and costs to the extent permitted by law.

A court may determine the prevailing party based on the overall relief obtained.

50. Changes to These Terms

ArcForge may update these Terms periodically.

Changes become effective when the revised Terms are posted with a new effective date.

Changes will not retroactively modify an existing signed project agreement unless both parties agree or applicable law permits the change.

Continued website use after changes become effective constitutes acceptance of the revised website-use terms.

51. Assignment

You may not assign a project agreement or rights under these Terms without ArcForge’s written consent.

ArcForge may assign its rights and obligations in connection with a merger, restructuring, sale of assets, financing, or transfer of business operations.

52. No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

A waiver is effective only when made in writing by an authorized representative.

53. Severability

If any provision is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or modified as necessary to make it enforceable.

The remaining provisions will remain in effect.

54. No Third-Party Beneficiaries

These Terms are for the benefit of ArcForge and the customer.

Unless expressly stated otherwise, no other person or entity has rights under these Terms.

55. Entire Agreement

These Terms and the applicable project documents constitute the entire agreement concerning their subject matter and replace prior or contemporaneous discussions, representations, and understandings concerning that subject matter.

The customer confirms that the customer has not relied on promises that are not included in the written agreement.
